ALGEMENE VOORWAARDEN THE BULBA VAULT

ARTIKEL 1 – DEFINITIES

In deze voorwaarden wordt verstaan onder:

The Bulba Vault: The Bulba Vault, gevestigd te De Lier, Nederland.

Klant: iedere natuurlijke persoon of rechtspersoon die een bestelling plaatst bij The Bulba Vault.

Consument: een natuurlijke persoon die handelt buiten beroep of bedrijf.

Zakelijke klant: iedere klant die handelt in de uitoefening van een beroep of bedrijf.

Product: ieder artikel dat door The Bulba Vault wordt verkocht.

Pre-order: een bestelling van een product dat op het moment van bestellen nog niet beschikbaar is voor directe levering.

Allocatie: de hoeveelheid producten die The Bulba Vault daadwerkelijk ontvangt van fabrikanten, distributeurs of leveranciers.

ARTIKEL 3 – TOEPASSELIJKHEID

Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen, bestellingen, overeenkomsten, leveringen en diensten van The Bulba Vault.

Afwijkingen van deze voorwaarden zijn uitsluitend geldig indien schriftelijk overeengekomen.

ARTIKEL 4 – PRODUCTEN

The Bulba Vault streeft ernaar producten zo nauwkeurig mogelijk te beschrijven.

Afbeeldingen, productomschrijvingen, verpakkingen, kleuren, talen, print-runs, pull-rates en productspecificaties kunnen afwijken van het daadwerkelijk geleverde product.

Kennelijke fouten, prijsfouten en voorraadfouten binden The Bulba Vault niet.

ARTIKEL 5 – BESTELLINGEN

Een bestelling geldt als een aanbod tot aankoop.

Een overeenkomst komt pas tot stand nadat The Bulba Vault de bestelling heeft bevestigd.

The Bulba Vault behoudt zich het recht voor bestellingen te weigeren, te corrigeren, te beperken of te annuleren in geval van fouten, voorraadproblemen, allocaties, fraude, betalingsproblemen of andere omstandigheden die uitvoering onmogelijk maken.

Indien een bestelling wordt geannuleerd nadat betaling is ontvangen, wordt het reeds betaalde bedrag terugbetaald.

ARTIKEL 6 – PRE-ORDERS

Producten die als pre-order worden aangeboden, worden verkocht onder voorbehoud van beschikbaarheid, productie, allocatie en levering door fabrikanten, distributeurs en leveranciers.

Vermelde releasedata en levertijden zijn indicatief en vormen geen garantie.

Door het plaatsen van een pre-order accepteert de klant dat vertragingen kunnen optreden.

The Bulba Vault garandeert niet dat een pre-order volledig, gedeeltelijk of binnen de verwachte termijn kan worden uitgeleverd.

Vertraging van een pre-order geeft geen recht op schadevergoeding.

ARTIKEL 7 – ALLOCATIES

The Bulba Vault is afhankelijk van allocaties van fabrikanten, distributeurs en leveranciers.

Wanneer minder producten worden geleverd dan verwacht, mag The Bulba Vault:

• aantallen verminderen;
• bestellingen gedeeltelijk uitleveren;
• bestellingen annuleren;
• klanten terugbetalen.

The Bulba Vault bepaalt zelfstandig hoe beschikbare voorraad wordt verdeeld.

Indien een product niet geleverd kan worden, bestaat uitsluitend recht op terugbetaling van het voor dat product betaalde bedrag.

ARTIKEL 8 – PRIJZEN EN BETALING

Alle prijzen worden weergegeven in euro's.

Bestellingen worden verwerkt nadat betaling volledig is ontvangen.

The Bulba Vault behoudt zich het recht voor prijzen te wijzigen.

Voor reeds bevestigde bestellingen geldt de prijs die op het moment van bestellen werd bevestigd.

Kennelijke prijsfouten geven geen recht op levering tegen de foutief vermelde prijs.

ARTIKEL 9 – LEVERING EN VERZENDING

Alle levertijden zijn indicatief.

The Bulba Vault is niet aansprakelijk voor vertragingen veroorzaakt door vervoerders, leveranciers, distributeurs, douane, overheidsmaatregelen of andere omstandigheden buiten haar invloedssfeer.

Voor consumenten gaat het risico van verlies of beschadiging over op het moment van levering.

Voor zakelijke klanten gaat het risico over zodra de zending aan de vervoerder wordt overgedragen.

ARTIKEL 10 – RETOURNEREN EN HERROEPINGSRECHT

Consumenten hebben het wettelijke recht een overeenkomst binnen 14 dagen na ontvangst van het product te herroepen.

De klant dient het product binnen 14 dagen na herroeping retour te sturen.

Retourkosten zijn voor rekening van de klant tenzij schriftelijk anders overeengekomen.

Producten dienen in originele staat te worden geretourneerd.

The Bulba Vault mag waardevermindering verrekenen indien producten beschadigd, geopend, gebruikt of incompleet worden geretourneerd.

Zakelijke klanten hebben geen wettelijk herroepingsrecht.

ARTIKEL 11 – GARANTIE

The Bulba Vault levert producten die voldoen aan de overeenkomst en de wettelijke eisen.

Garantie geldt niet voor schade ontstaan door:

• verkeerd gebruik;
• slijtage;
• onzorgvuldige opslag;
• beschadiging door de klant;
• wijzigingen aan het product.

The Bulba Vault garandeert geen specifieke grading score, pull-rate, verzamelwaarde of toekomstige marktwaarde.

ARTIKEL 12 – TCG-PRODUCTEN EN INVESTERINGEN

Trading Card Game-producten zijn verzamelobjecten waarvan de waarde kan stijgen of dalen.

The Bulba Vault verstrekt geen garantie betreffende:

• marktwaarde;
• investeringswaarde;
• verkoopwaarde;
• toekomstige prijsontwikkeling;
• winstpotentie;
• gradingresultaten.

Alle aankopen worden gedaan voor eigen rekening en risico van de klant.

Informatie over markten, schaarste, populariteit of investeringspotentie vormt nooit financieel advies.

ARTIKEL 13 – AANSPRAKELIJKHEID

Voor zover wettelijk toegestaan is de totale aansprakelijkheid van The Bulba Vault beperkt tot maximaal het bedrag dat de klant voor het betreffende product heeft betaald.

The Bulba Vault is niet aansprakelijk voor:

• gederfde winst;
• gemiste omzet;
• gemiste investeringsopbrengsten;
• gemiste verkoopkansen;
• waardestijging van producten;
• marktprijsverschillen;
• reputatieschade;
• gevolgschade;
• schade door vertraging;
• schade door niet-levering als gevolg van allocaties of externe omstandigheden.

Bij niet-levering is de maximale vergoeding beperkt tot terugbetaling van het betaalde aankoopbedrag.

ARTIKEL 14 – OVERMACHT

The Bulba Vault is niet aansprakelijk wanneer nakoming onmogelijk wordt door overmacht.

Onder overmacht wordt onder meer verstaan:

• allocatieverlagingen;
• productieproblemen;
• leveringsproblemen;
• importbeperkingen;
• douaneproblemen;
• stakingen;
• pandemieën;
• oorlog;
• cyberincidenten;
• logistieke verstoringen;
• overheidsmaatregelen.

Bij overmacht mogen verplichtingen worden opgeschort of geannuleerd.

Indien levering definitief onmogelijk blijkt, wordt uitsluitend het betaalde aankoopbedrag terugbetaald.

ARTIKEL 15 – TOEPASSELIJK RECHT

Op alle overeenkomsten met The Bulba Vault is uitsluitend Nederlands recht van toepassing.

Geschillen worden voorgelegd aan de bevoegde rechter in Nederland.

TERMS AND CONDITIONS OF THE BULBA VAULT

IMPORTANT NOTICE

These Terms and Conditions are provided in English for convenience.

In the event of any difference, inconsistency, ambiguity or conflict between the English version and the Dutch version of these Terms and Conditions, the Dutch version shall prevail and be legally binding.

All agreements between The Bulba Vault and its customers are governed exclusively by Dutch law.

ARTICLE 1 – DEFINITIONS

For the purposes of these Terms and Conditions:

The Bulba Vault means The Bulba Vault, registered in the Netherlands under Chamber of Commerce number 98542028.

Customer means any individual or legal entity purchasing products or services from The Bulba Vault.

Consumer means a natural person acting for purposes outside their trade, business or profession.

Business Customer means any customer acting in the course of business, including retailers, resellers, traders, investors and commercial buyers.

Product means any item sold by The Bulba Vault, including but not limited to trading cards, booster boxes, sealed products, accessories, merchandise and imported products.

Pre-Order means an order placed for a product that has not yet been released, received or made available for shipment by The Bulba Vault.

Allocation means the quantity of products actually supplied to The Bulba Vault by manufacturers, distributors or suppliers.

ARTICLE 3 – APPLICABILITY

These Terms and Conditions apply to all offers, orders, agreements, deliveries and services provided by The Bulba Vault.

Any deviation from these Terms and Conditions shall only be valid if expressly agreed in writing.

If any provision of these Terms and Conditions is found to be invalid, the remaining provisions shall remain fully enforceable.

ARTICLE 4 – CUSTOMER ACCOUNTS

Customers may be required to provide personal information including name, address, email address, telephone number and payment details.

Customers are responsible for ensuring that all information provided is accurate, complete and up to date.

The Bulba Vault shall not be liable for any damages, delays or losses resulting from incorrect customer information.

Customers are responsible for maintaining the confidentiality of any account credentials.

The Bulba Vault reserves the right to suspend or terminate accounts in cases of fraud, abuse, payment disputes or violations of these Terms.

ARTICLE 5 – PRODUCTS

The Bulba Vault strives to provide accurate descriptions, images and information regarding all products.

Product images are for illustrative purposes only.

Specifications, packaging, appearance, language, print runs, pull rates, contents and availability may vary from product to product and between manufacturing runs.

The Bulba Vault does not guarantee any specific:

• pull rate;
• card ratio;
• grading outcome;
• PSA, BGS or CGC grade;
• collectability;
• investment value;
• resale value;
• future market value.

Any information regarding rarity, demand or future value is provided for information purposes only and shall not be interpreted as investment advice.

ARTICLE 6 – ORDERS

An order placed by a customer constitutes an offer to purchase.

A contract is only formed when The Bulba Vault confirms the order or begins processing the order.

The Bulba Vault reserves the right to reject, cancel or limit orders at its sole discretion.

If an order is cancelled after payment has been received, the paid amount for the cancelled portion shall be refunded.

ARTICLE 7 – PRE-ORDERS

Products listed as pre-orders are sold subject to availability, allocation, production schedules and supplier delivery.

Release dates and estimated delivery dates are indicative only and are not guaranteed.

By placing a pre-order, the customer acknowledges and accepts that delays may occur.

The Bulba Vault does not guarantee that a pre-order will be fulfilled in whole, in part or within any estimated timeframe.

Delays in fulfillment shall not entitle the customer to:

• compensation;
• replacement products at current market value;
• reimbursement of price increases;
• reimbursement of lost profits.

ARTICLE 8 – ALLOCATIONS

The Bulba Vault is dependent upon manufacturer and distributor allocations.

If fewer products are supplied than anticipated, The Bulba Vault reserves the right to:

• reduce quantities;
• partially fulfill orders;
• delay fulfillment;
• cancel orders;
• refund affected customers.

The Bulba Vault has sole discretion regarding the allocation of available inventory.

Customers shall have no claim to future market value, resale value, lost appreciation, lost profits or any other consequential damages resulting from allocation shortages.

If a product cannot be supplied, the customer's sole remedy shall be a refund of the amount paid for the undelivered product.

ARTICLE 9 – SHIPPING AND DELIVERY

All delivery times are estimates only and are not guaranteed.

The Bulba Vault shall not be liable for delays caused by:

• manufacturers;
• distributors;
• suppliers;
• carriers;
• customs authorities;
• import restrictions;
• government actions;
• logistical disruptions;
• force majeure events.

For consumers, risk transfers upon physical delivery.

For business customers, risk transfers once the shipment has been handed over to the carrier.

ARTICLE 10 – RETURNS AND WITHDRAWAL RIGHTS

Consumers may have the legal right to withdraw from a purchase within 14 days after receiving the product, in accordance with applicable Dutch and European consumer laws.

Business customers do not have a statutory right of withdrawal.

Returned products must be returned in their original condition.

The Bulba Vault reserves the right to deduct any loss in value resulting from use beyond what is necessary to inspect the product.

ARTICLE 11 – TCG PRODUCTS AND INVESTMENT DISCLAIMER

Trading Card Game products are speculative collectibles.

The Bulba Vault makes no representation or warranty regarding:

• future value;
• price appreciation;
• market demand;
• investment potential;
• resale potential;
• collectability.

The customer purchases all products at their own risk.

The Bulba Vault shall not be liable for:

• loss of profit;
• loss of investment return;
• loss of market value;
• missed resale opportunities;
• appreciation in market value;
• grading outcomes;
• speculative losses.

ARTICLE 12 – LIABILITY

To the maximum extent permitted by law, The Bulba Vault's total liability shall be limited to the amount paid by the customer for the relevant product.

The Bulba Vault shall not be liable for:

• indirect damages;
• consequential damages;
• lost profits;
• business interruption;
• loss of goodwill;
• reputational damages;
• market value increases;
• allocation shortages;
• delayed delivery;
• non-delivery caused by third parties.

Nothing in these Terms shall exclude liability where such exclusion is prohibited by law.

ARTICLE 13 – FORCE MAJEURE

The Bulba Vault shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including:

• allocation shortages;
• production issues;
• supplier failures;
• transport disruptions;
• customs delays;
• import restrictions;
• governmental actions;
• cyber incidents;
• pandemics;
• strikes;
• natural disasters.

If performance becomes impossible, The Bulba Vault may cancel all or part of the agreement and refund any amounts paid for undelivered products.

ARTICLE 14 – GOVERNING LAW

These Terms and Conditions shall be governed exclusively by Dutch law.

Any disputes arising from or relating to these Terms and Conditions shall be submitted exclusively to the competent courts of the Netherlands.
